Please read these Terms of Service ("Terms") carefully before using the Taployalty platform. By creating an account or using our services, you agree to be bound by these Terms.
1. About Taployalty
Taployalty Ltd ("Taployalty," "we," "us," or "our") provides a digital loyalty platform ("Platform") that enables businesses to create and manage digital loyalty programmes for their customers. The Platform is accessible at taployalty.app.

2. Eligibility
By agreeing to these Terms, you confirm that:
- You are at least 18 years of age
- You have the legal authority to enter into a binding agreement on behalf of yourself or your business
- Your use of the Platform does not violate any applicable laws in your jurisdiction
- You are not located in a jurisdiction where use of the Platform is prohibited
3. Account Registration
To access the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your account credentials confidential
- Notify us immediately of any unauthorised access to your account at hello@taployalty.app
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been accessed without authorisation.
4. Subscription Plans and Pricing
Taployalty offers the following subscription tiers, billed monthly:

Free Trial: New accounts receive a 14-day free trial. No payment is required to start a trial. At the end of the trial period, you must select a paid plan to continue using the Platform. If no plan is selected, access will be suspended.
Billing: Subscriptions are billed monthly in advance on the date you first subscribe. Payments are processed securely via Stripe.
Price Changes: We reserve the right to change pricing with 30 days' written notice to your registered email address. Continued use of the Platform after a price change constitutes acceptance of the new pricing.
5. Payment and Renewal
- Subscriptions automatically renew at the end of each billing period unless cancelled
- You authorise Taployalty to charge your payment method on the recurring billing date
- If payment fails, we will notify you and may suspend access until payment is resolved
- All fees are non-refundable except as outlined in Section 6
6. Cancellation and Refunds
Cancellation: You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to the Platform until that date.
Refunds: We do not offer refunds for partial months or unused periods. If you cancel, your access continues until the end of the paid billing cycle.
Exception: If the Platform experiences significant downtime or a material failure attributable to Taployalty (exceeding 72 consecutive hours), you may request a pro-rata credit for the affected period. Requests must be submitted within 14 days of the incident to hello@taployalty.app.
7. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
- Use the Platform to send unsolicited communications, spam, or misleading messages to your customers
- Collect or process personal data in violation of applicable privacy or data protection laws
- Attempt to gain unauthorised access to any part of the Platform or its infrastructure
- Reverse engineer, decompile, or extract source code from the Platform
- Resell, sublicense, or commercially exploit the Platform without our written consent
- Use the Platform to engage in fraudulent activity or to harm third parties
- Upload malicious code, viruses, or any content intended to disrupt or damage the Platform
- Misrepresent your identity or affiliation when using the Platform
We reserve the right to suspend or terminate any account found in violation of these terms without prior notice.
8. Intellectual Property
Our Platform: All intellectual property in the Platform — including its design, features, software, branding, and content — is owned by Taployalty Ltd or its licensors. Nothing in these Terms grants you ownership of any part of the Platform.
Your Content: You retain ownership of any content, data, or materials you upload or create using the Platform ("Your Content"). By using the Platform, you grant Taployalty a limited, non-exclusive licence to store and process Your Content solely to provide the service.
Feedback: If you provide feedback or suggestions about the Platform, we may use this feedback without restriction or compensation to you.
9. Data and Privacy
Your use of the Platform is subject to our Privacy Policy, available at taployalty.app/privacy-policy, which is incorporated into these Terms by reference.
Venue Responsibilities: As a Venue using the Platform, you are the data controller for any personal data you collect from your end customers (loyalty card holders). You are responsible for:
- Complying with all applicable data protection laws in your jurisdiction
- Publishing a privacy policy that covers your customers' data
- Obtaining all necessary consents from your customers
- Ensuring your use of the Platform does not violate your customers' rights
Taployalty acts only as a data processor in relation to end-customer data, processing it solely on your instructions and to deliver the Platform's functionality.
10. Platform Availability and Modifications
We aim to maintain high availability of the Platform but do not guarantee uninterrupted access. We reserve the right to:
- Perform scheduled or emergency maintenance
- Modify, update, or discontinue features with reasonable notice where possible
- Suspend access to address security threats or abuse
We will communicate planned downtime in advance where reasonably practicable.
11. Third-Party Services
The Platform integrates with third-party services including payment processors and email providers. Your use of these integrations may be subject to the third party's own terms and privacy policies. Taployalty is not responsible for the actions, availability, or performance of third-party services.
12. Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Taployalty disclaims all warranties including:
- Fitness for a particular purpose
- Merchantability
- Non-infringement
- Uninterrupted or error-free operation
We do not warrant that the Platform will produce any specific business results, including increased customer retention or revenue.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Taployalty's total liability to you for any claims arising from your use of the Platform shall not exceed the total fees paid by you in the three (3) months immediately preceding the claim.
In no event shall Taployalty be liable for:
- Loss of profits, revenue, or business opportunities
- Loss of data or corruption of data
- Indirect, incidental, consequential, or punitive damages
- Any damages arising from reliance on the Platform for business-critical decisions
14. Indemnification
You agree to indemnify, defend, and hold harmless Taployalty Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Platform in violation of these Terms
- Your breach of any applicable law or regulation
- Any claims brought by your end customers arising from your use of the Platform
- Any content you upload or create through the Platform
15. Termination
By You: You may terminate your account at any time by cancelling your subscription and contacting hello@taployalty.app.
By Us: We may suspend or terminate your account immediately if:
- You breach any provision of these Terms
- We are required to do so by applicable law
- Your account is involved in fraudulent or abusive activity
Upon termination, your right to access the Platform ceases immediately. We will retain data subject to our Privacy Policy and applicable legal obligations.
16. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with general principles of international commercial law, without reference to any specific national legal system.
Any dispute arising from these Terms or your use of the Platform shall first be subject to good-faith negotiation between the parties. If a dispute cannot be resolved within 30 days of written notice, the parties agree to submit to binding arbitration under internationally recognised arbitration rules.
Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. If changes are material, we will notify you by email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes your acceptance of the updated Terms.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Taployalty Ltd regarding your use of the Platform and supersede any prior agreements or understandings.
